These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Buyer," "Seller," or "you") and Sporfia ("Sporfia," "we," "our," or "us") governing your access to and use of the Sporfia marketplace, website, applications, products, and related services.

By accessing, browsing, creating an account, purchasing products, opening a seller store, listing products, or otherwise using any portion of the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and by any policies incorporated by reference, including but not limited to our Privacy Policy, Seller Agreement, Acceptable Use Policy, Prohibited Items Policy, Returns Policy, Shipping Policy, and any future policies published by Sporfia.

If you do not agree with these Terms, you may not access or use the Platform.

2. Eligibility

You must be at least eighteen (18) years of age, or the legal age of majority in your jurisdiction, whichever is greater, to create an account or use the Platform.

By creating an account you represent and warrant that:

• You have the legal authority to enter into binding agreements.

• Accept responsibility for activity occurring through your account until you notify us of unauthorized use.

Sporfia may require identity verification before allowing access to certain features, including opening a seller account, receiving payouts, or completing purchases.

We reserve the right to refuse service, suspend accounts, remove accounts, or require additional verification whenever necessary to protect the Platform, other users, or comply with legal obligations.

4. Marketplace Services

Sporfia provides an online marketplace connecting independent sellers with buyers.

Unless explicitly stated otherwise, Sporfia is not the manufacturer, importer, distributor, or owner of products listed by independent sellers.

Individual sellers are responsible for creating listings, setting prices, maintaining inventory, fulfilling orders, complying with laws, and providing customer support relating to their products.

Sporfia may provide payment processing, communication tools, store management, analytics, promotional features, and other marketplace services, but does not assume ownership of products listed by sellers.

5. Buyer Responsibilities

Buyers agree to use the Platform honestly, lawfully, and in good faith.

Buyers agree that they will:

• Provide accurate billing and shipping information.
• Pay for orders they place.
• Refrain from fraudulent purchases or chargeback abuse.
• Respect seller policies where consistent with applicable law.
• Not attempt to circumvent the marketplace to avoid fees.

Buyers understand that product descriptions, pricing, shipping estimates, sizing information, availability, and photographs are supplied by individual sellers.

While Sporfia may review listings for policy compliance, we cannot guarantee the accuracy, legality, safety, quality, or authenticity of products offered by third- party sellers.

6. Seller Responsibilities

Sellers are solely responsible for every product they list and every transaction completed through their store.

By opening a seller account, you represent and warrant that:

• You legally own or are authorized to sell every product you list.
• Your listings accurately describe the products being sold.
• Your products comply with all applicable federal, state, local, and international laws.
• You possess all licenses, permits, and registrations required for your business.
• Your listings do not infringe any copyright, trademark, patent, trade dress, publicity right, or other intellectual property rights.
• You will fulfill orders promptly and communicate delays when necessary.
• You will comply with all applicable tax obligations.

Sellers acknowledge that Sporfia reserves the right to review, suspend, remove, or permanently terminate listings or seller accounts that violate these Terms or any Sporfia policy, or that present an unreasonable risk to customers or the Platform.

13. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

SPORFIA MAKES NO WARRANTIES, REPRESENTATIONS, OR GUARANTEES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR UNINTERRUPTED AVAILABILITY.

Because Sporfia operates as an online marketplace connecting independent buyers and sellers, we do not guarantee the quality, authenticity, legality, safety, condition, or accuracy of any product listed by sellers.

We do not guarantee that the Platform will always be available, error-free, uninterrupted, secure, or free of viruses or harmful components.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPORFIA, ITS OWNERS, EMPLOYEES, DIRECTORS, OFFICERS, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR LOST PROFITS DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE PLATFORM.

This includes, but is not limited to, damages relating to:

• Lost profits
• Lost revenue
• Lost business opportunities
• Loss of goodwill
• Data loss
• Product defects
• Seller disputes
• Buyer disputes
• Delivery delays
• Payment processor decisions

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPORFIA'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF FIFTY UNITED STATES DOLLARS (US $50.00) OR THE TOTAL FEES PAID TO SPORFIA BY YOU DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to defend, indemnify, and hold harmless Sporfia, its owners, employees, affiliates, successors, agents, contractors, licensors, partners, and service providers from and against any claims, lawsuits, damages, judgments, penalties, liabilities, losses, expenses, settlements, and attorneys' fees arising from or relating to:

• Your violation of these Terms.
• Your violation of applicable law.
• Your products or services.
• Your User Content.
• Intellectual property claims relating to your products.
• Personal injury or property damage caused by your products.
• Tax obligations.
• Consumer protection violations.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict of law principles.

Any legal action or proceeding arising out of or relating to these Terms or the Platform shall be brought in a court of competent jurisdiction located within Pennsylvania unless otherwise required by applicable law.

You consent to the jurisdiction of those courts for resolving disputes relating to these Terms.

17. Changes to these Terms

Sporfia reserves the right to modify, update, or replace these Terms at any time.

Updated Terms become effective upon posting unless another effective date is stated.

Continued use of the Platform after revised Terms become effective constitutes acceptance of those changes.

Users are responsible for reviewing these Terms periodically.
